🟑 The Blind Spot in Private Deals: When Documents Aren’t Enough

Due diligence is often treated as a box-ticking exercise.

You review the investment agreement.

You skim through the corporate structure.

You confirm there’s no active litigation… and you sign.

But in non-standard private deals – especially across borders or involving offshore structures that approach leaves you exposed.

Not because the documents are wrong, but because they’re incomplete.

πŸ” The Case

We were recently asked to review a private lending proposal.

On the surface, it looked clean:

• Signed agreement

• Detailed use of funds

• A holding structure in a low-tax jurisdiction

So far, so typical.

But instead of stopping at the paperwork, we pushed further:

• We mapped the full ownership trail

• Verified the identities behind the transaction

• Ran independent checks on the named signatories

Here’s what surfaced:

• One director had a sealed criminal record in a European jurisdiction for aggravated financial fraud not visible in any standard registry

• The “guarantor” had been linked to unlicensed securities offerings and a shut-down placement scheme

• The entity listed as guarantor had been legally dissolved over a year ago

None of this was evident from the documents.

And none of it would have been caught by a typical legal or notarial review.

🧷 Why This Happens

Because most due diligence still assumes risk is something you read.

But in reality, risk is often something you sense, and then verify.

If the structure feels convoluted it usually is.

If the background check is limited to paperwork it usually misses what matters.

πŸ” What We’ve Added

At Second Opinion Check, we now offer a targeted verification service for anyone who needs clarity about the counterparty they’re dealing with – whether it’s a person, an organization, or a contract that doesn’t feel right.

Whether you’re reviewing an investment opportunity, vetting a business partner, or double-checking a personal guarantee we help you verify who (and what) you’re really dealing with.

We don’t just check formal documents.

We investigate who’s behind them – and whether their story holds up.

🟑 Our Approach

We look at documents, yes.

But we also look through them at:

• Who signed? And where have they been before?

• Is the guarantee worth more than the paper it’s printed on?

• Does the structure work legally, but fail operationally?

We don’t just ask “Is it compliant?”

We ask “Does it actually hold together?”

πŸ’‘ Final Thought

The biggest risks in private deals aren’t hiding in the footnotes.

They’re hiding in plain sight just behind people, past behaviour, and assumptions that go untested.

If something feels off, it probably is.

We help you turn that instinct into evidence —

clearly, discreetly, and without disruption.
